By accessing or using DEPR.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

DEPR.ai provides cloud-based fixed asset management and depreciation calculation software. Our Service includes:

  • Fixed asset tracking and management
  • Automated depreciation calculations (Book and Tax)
  • Integration with accounting systems (QuickBooks, etc.)
  • Financial reporting and analysis
  • Journal entry generation and posting

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for:

  • Safeguarding your account password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your team members comply with these Terms

4. Subscription and Billing

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your subscription plan
  • Provide accurate billing information
  • Automatic renewal unless canceled before the renewal date

Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy.

Price Changes: We reserve the right to modify subscription prices with 30 days notice. Price changes will not affect your current billing cycle.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to any systems
  • Impersonate another person or entity
  • Collect information about other users without consent
  • Use the Service for fraudulent or deceptive purposes

6. Intellectual Property

The Service and its original content, features, and functionality are owned by DEPR.ai and are protected by international copyright, trademark, and other intellectual property laws.

Your data remains your property. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

7. Financial Calculations Disclaimer

Important Notice

DEPR.ai provides depreciation calculations based on the information you provide and standard accounting methods. These calculations are for informational purposes and should not be considered tax, legal, or financial advice.

You acknowledge that:

  • Calculations depend on accuracy of input data
  • Tax laws vary by jurisdiction and change over time
  • You should consult qualified professionals for tax and accounting decisions
  • We are not liable for errors resulting from incorrect input data
  • Historical calculations should be verified by a qualified accountant

8. Third-Party Integrations

The Service integrates with third-party applications like QuickBooks. By using these integrations, you:

  • Authorize us to access your data in those applications
  • Agree to comply with the third party's terms of service
  • Acknowledge we are not responsible for third-party service availability
  • Understand data syncing may affect your accounting records

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEPR.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Errors in depreciation calculations
  • Tax penalties or interest resulting from Service use
  • Third-party integration failures

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless DEPR.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

11. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may temporarily suspend the Service for:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency repairs or security updates
  • Circumstances beyond our reasonable control

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

  • Violates these Terms
  • Is harmful to other users or the Service
  • Is fraudulent or illegal

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. We will retain your data for 30 days after termination, after which it may be deleted.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
